Acceptance of Terms
By accessing and using the MiCA Whitepaper Generator (the “Tool”), you agree to be bound by the general Terms & Conditions and these following Specific Terms & Disclaimers (together, the “Terms”). In the event of any conflict between the general Terms & Conditions and these Specific Terms & Disclaimers, the provisions of the Specific Terms & Disclaimers shall prevail, as applicable. Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use this Tool.
Description of Tool
The MiCA Whitepaper Generator is a client-side web application that assists users in creating crypto-asset white papers in the XHTML+XBRL format as specified by the European Securities and Markets Authority (ESMA) under the Markets in Crypto-Assets Regulation (EU) 2023/1114. The Tool provides a structured form interface and generates formatted output documents.
Access to the Tool is provided by the Cardano Foundation.
Permitted Use
You may use this Tool to generate and edit white paper documents for legitimate regulatory compliance purposes. You agree not to use this Tool to create fraudulent, misleading, or deceptive documents.
You are solely responsible for the accuracy and legality of all content entered into and generated by this Tool.
Privacy
The Tool is a fully client-side application. This Tool does not collect, transmit, or store any personal data on external servers. All information you enter into the form fields remains entirely within your web browser.
No analytics, tracking, or telemetry services are used. No cookies are set for tracking purposes. The only browser storage used is session storage for draft persistence and local storage for user preferences such as theme selection and consent records.
The privacy provisions herein apply solely to the Tool. The processing of personal data in connection with the remainder of the Cardano Foundation website(s) is governed by the relevant Privacy Policy.
Data Storage & Data Processing
All data is stored in your browser's session storage and is automatically deleted when you close the browser tab. Consent records and user preferences (such as theme selection) are stored in your browser's local storage until you clear them. All processing, including form validation and XHTML+XBRL document generation, takes place entirely within your browser. No data is transmitted to or processed on external servers. You are solely responsible for securing, backing up, and exporting your work. You may clear all locally stored data at any time through your browser settings.
Third-Party Services
This application does not integrate with any third-party services that process user data. Web fonts may be loaded from external CDNs, which is subject to those providers' privacy policies.
Intellectual Property
The white paper documents and other outputs generated using this Tool belong to you. Subject to any applicable third-party rights, you may use, modify, reproduce, distribute, and commercialize such outputs without restriction.
The Tool itself, including its source code, documentation, and associated materials, is made available under an open-source license via GitHub. Your use, reproduction, modification, and distribution of the Tool are governed by the terms of that license. Nothing in these Terms limits or modifies the rights granted under the applicable open-source license.
No Legal Advice
The Tool is provided for informational and formatting purposes only. Nothing in this application or its output constitutes legal, financial, tax, or regulatory advice.
You should consult with qualified legal and financial professionals before issuing, distributing, or submitting any crypto-asset white paper to a national competent authority.
No Warranty
This Tool is provided “as is” and “as available” without any warranties or representations of any kind, whether express or implied. No warranty is made that the tool will be uninterrupted, error-free, or that any generated output will be accurate, complete, compliant with applicable laws or regulatory requirements, or suitable for any particular purpose.
You remain solely responsible for reviewing, validating, adapting and approving any generated content before relying on or using it, including for any regulatory filing or submission.
Limitation of Liability
To the fullest extent permitted by applicable law, any liability arising out of or in connection with the use of, or inability to use, the Tool or any generated output is excluded. This includes, without limitation, liability for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, loss of profits, revenue, business opportunities, data or goodwill, business interruption, or regulatory fines, penalties or other sanctions.
Indemnification
You agree to indemnify and hold harmless the Cardano Foundation, its affiliates, directors, officers, employees and representatives from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to your use of the Tool, your generated outputs, your violation of these Terms, or your violation of any applicable law or third-party rights.
Changes to Terms
These Terms may be updated from time to time. Continued use of the Tool after changes have been posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
